Please read these Terms of Service (“Terms”) carefully before using Worklay (“Platform”, “Service”). By creating an account, registering an organisation, or otherwise accessing the Platform, you (“Customer” or “User”) agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of these Terms, do not use the Platform.
1. Definitions
- Platform — The Worklay SaaS application accessible at worklay.app, including all APIs, WebSocket services, background workers, and any associated integrations.
- Customer / Organisation — A business entity that has registered and been approved to use the Platform.
- User / Employee — An individual authorised by a Customer to access the Platform under that Customer's subscription.
- App Admin — Worklay staff with platform-wide administrative access.
- Org Admin — A User designated by the Customer to manage settings, users, roles, and billing within their organisation.
- Subscription Plan — The tier (Free, Pro, or Enterprise) selected by the Customer, governing feature access and usage limits.
- Content — All data, text, files, task descriptions, comments, time logs, leave records, and other information uploaded, entered, or generated by Users on the Platform.
- Workspace — The isolated environment created for each Customer on the Platform, containing all that organisation's Content and settings.
2. Account Registration & Approval
- Organisations must complete the self-service onboarding and receive explicit approval from a Worklay App Admin before Platform access is granted.
- You must provide accurate, complete, and current information during registration. Providing false information is grounds for immediate account suspension.
- One Workspace per legal entity. Creating duplicate organisations is prohibited.
- The Org Admin created during onboarding is solely responsible for managing Users, roles, and settings within their Workspace.
- You are responsible for the confidentiality of your credentials. Notify us immediately at support@worklay.app if you suspect unauthorised access to your account.
3. Service Description
Worklay is a multi-tenant project and team management platform that provides the following core capabilities:
- Task & Project Management — Create and organise tasks, set priorities, assign owners, define due dates, and track progress using customisable statuses.
- Time Tracking — Log hours against tasks or projects using a built-in timer; generate timesheets and exportable reports.
- Leave & Attendance Management — Configure leave types and policies, process approval workflows, and track attendance records.
- Team Collaboration — Comment on tasks, mention team members, receive real-time notifications, and share documents with role-based access control.
- Client Management — Maintain a client directory and associate projects with client accounts.
- Reporting & Analytics — Generate summaries of project health, team utilisation, leave balances, and time-log data.
We reserve the right to add, modify, or discontinue specific features with reasonable notice, provided that core functionality is maintained for paid plans within the SLA defined in Section 9.
4. Subscription Plans & Billing
4.1 Available Plans

4.2 Billing
- Subscriptions are billed monthly in advance via Razorpay. Prices are in Indian Rupees (INR) and include applicable GST.
- Subscription fees are non-refundable except as required by applicable law or as stated in our refund policy.
- Plan limits are enforced at the API level. Exceeding a limit requires a plan upgrade before the action can be completed.
- We will notify you 7, 3, and 1 day before subscription expiry. On expiry, your account is downgraded to the Free plan; no data is deleted for 60 days.
- Failed payments will be retried for 7 days. If payment is not recovered within that period, the account is downgraded to Free.
4.3 Price Changes
We reserve the right to change subscription prices with 30 days' written notice. Existing subscribers will be notified by email. Continued use after the effective date constitutes acceptance of the new pricing.
5. Acceptable Use
You agree not to:
- Use the Platform for any purpose that violates Indian law or applicable regulations.
- Upload malware, viruses, ransomware, or any malicious code or scripts.
- Attempt to gain unauthorised access to another organisation's Workspace, data, or our infrastructure.
- Perform denial-of-service attacks, automated scraping, or send API requests at rates that exceed normal use patterns.
- Reverse-engineer, decompile, disassemble, or attempt to extract source code from the Platform.
- Resell, sublicense, or white-label the Platform without a separate written agreement with Worklay.
- Post or transmit Content that is illegal, defamatory, harassing, discriminatory, or infringes on third-party intellectual property rights.
- Share login credentials or allow simultaneous use of a single account by multiple individuals who are not the designated account holder.
- Use the Platform to store or process personal data in a manner that violates the DPDP Act 2023 or any applicable privacy law.
Worklay may suspend or terminate accounts that violate this section without prior notice.
6. Intellectual Property
- Platform IP — All software, design, trademarks, and materials comprising the Platform are owned by Worklay and protected by applicable IP laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for your internal business purposes.
- Your Content — You retain all ownership rights to Content you submit to the Platform. You grant Worklay a limited, worldwide licence to store, process, backup, and display your Content solely to provide the Service to you. This licence terminates when your account is closed.
- Aggregated & Anonymous Data — We may use anonymised, aggregated, non-identifying data derived from Platform usage to improve our services. This data cannot be used to identify you or your organisation.
- Feedback — Any feedback, suggestions, or ideas you provide may be used by Worklay without obligation or compensation.
7. Data & Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. As a Customer, you are a Data Fiduciary (under the DPDP Act, 2023) for your employees' personal data. Worklay acts as a Data Processor on your behalf and will process personal data only as directed by these Terms and your use of the Platform.
By registering, you confirm that you have obtained any consents required from your employees to process their data on the Platform and that you will maintain those consents for as long as you use the Service.
8. API Access & Rate Limits
The Platform exposes a REST API for programmatic access by Users and integrations. Use of the API is subject to these Terms and the following limits:
- Global rate limit: 100 requests per minute per IP address. Exceeding this limit will result in HTTP 429 responses.
- Auth endpoint rate limit: 5 requests per 15 minutes per IP address (applies to login, password reset, and token refresh endpoints).
- You may not use the API to scrape, mirror, or bulk-export data in a manner inconsistent with normal application use.
- We may adjust rate limits with 14 days' notice for paid plans and without notice on the Free plan.
9. Service Availability & SLA
- We target 99.5% monthly uptime for Pro plans and 99.9% monthly uptime for Enterprise plans. The Free plan carries no uptime guarantee.
- Scheduled maintenance will be announced at least 24 hours in advance and performed during off-peak hours (IST 1:00 AM – 5:00 AM).
- Uptime excludes downtime caused by: (a) third-party infrastructure (AWS, MongoDB Atlas, Cloudflare, Razorpay, Vercel); (b) force majeure events; or (c) Customer actions that cause degradation.
- Service credit requests for SLA breaches must be submitted within 30 days of the incident by emailing support@worklay.app.
10. Beta Features
We may offer features labelled “Beta” or “Preview” that are still under active development. Beta features:
- Are provided as-is with no SLA or stability guarantee.
- May be changed or removed at any time without notice.
- Should not be used for mission-critical workflows.
- May not be covered by the data protection commitments in these Terms until they reach general availability.
11. Confidentiality
Each party agrees to keep the other's Confidential Information strictly confidential and not to disclose it to third parties without prior written consent. “Confidential Information” means any non-public information disclosed by one party to the other that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information. This obligation does not apply to information that is: (a) publicly known through no fault of the receiving party; (b) independently developed by the receiving party without reference to the disclosing party's information; or (c) required to be disclosed by law or court order, provided that the disclosing party is given prompt written notice where legally permissible.
12. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WORKLAY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER IN THE THREE (3) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WORKLAY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14. Termination
- By You — You may cancel your subscription at any time from Settings → Subscription. Access continues until the end of the current billing period.
- By Worklay — We may suspend or terminate your account immediately for: material breach of these Terms; suspected fraudulent activity; non-payment after the 7-day retry period; or violation of the Acceptable Use policy.
- Effect of Termination — Upon termination, your access and all Users' access is revoked. Your Content is retained for 60 days, after which it is permanently and irreversibly deleted. You may request a data export at any time before deletion by emailing support@worklay.app.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India. Before initiating legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email and an in-app notification at least 14 days before taking effect. The latest version is always available at worklay.app/terms. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
